Legal
The terms that apply when you use our websites or buy from Compleation Limited - in plain English.
They cover how we work, how we charge and what we each expect, and they sit alongside your rights under New Zealand law.
The short version
The detail is below. If you read nothing else, read these.
Plain terms
What we offer, how we charge, how refunds work and what we expect from each other, without the jargon.
Your rights
Nothing here takes away your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
Pricing
Admin and governance services are agreed in writing first. Coaching and digital products show their price at checkout.
Delivery
You deal with the person who does the work. Nothing is farmed out to a stranger.

01Who we are
These Terms and Conditions (“terms”) apply to your use of our websites and to every product and service you buy from Compleation Limited (“we”, “us” or “our”). We are a New Zealand company based in Te Puke, Bay of Plenty. By using our websites, buying from us or engaging us, you agree to these terms.
Website one
Our governance, compliance and admin services site, for established businesses, committees, societies and boards.
Website two
Our coaching and education hub for early-stage business builders. It links out to our coaching, programs, memberships and digital products, some of which have their own websites.
The terms also cover any other website or domain we operate, including a separate website for an individual digital product, as well as sales and funnel pages, checkout and order forms, bookings and communications. Where a product has its own website, that website links back to these terms.
For retainers, ongoing coaching and other larger work, we normally give you a separate written agreement or proposal as well (see section 05). If it conflicts with these terms, the agreement applies to that work. Everything else in these terms still applies.
Your legal rights stay in place. Nothing in these terms limits or excludes any right you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other New Zealand law that cannot be excluded. If you are buying as a consumer, those rights apply in addition to these terms.
02Using our websites
Our websites are here to inform you and support your engagement with us. We make reasonable efforts to keep them available and free of errors, but we do not guarantee uninterrupted or error-free access. We may change, suspend or restrict site features at any time without notice.
If you breach these rules we may restrict your access and, where it is warranted, take legal action.
03Intellectual property
All content on our websites and in our services belongs to Compleation Limited and is protected by New Zealand copyright law. That includes text, design, logos, branding, digital products, templates, worksheets, frameworks and course material.
You may view and print content for your own use. You may not reproduce, copy, redistribute, sell or modify it for commercial purposes without our written permission. You may not link directly to downloadable files or embed content we host elsewhere.
Documents we prepare specifically for your organisation, such as minutes, reports, filings and records, are yours to use for that organisation. Our own templates, frameworks and methods remain ours.
We may ask for the removal of unauthorised or misleading use of our copyright material.
04Our services and products
Compleation Limited runs two sides of the business, and they are priced differently. Everything we sell is digital or a service. We do not sell physical goods, so nothing is posted or shipped to you.
On workingwithkirstenwinter.com we provide independent governance, compliance, financial administration and business admin support to businesses, committees, societies and boards. These services are engaged in one of two ways.
Hourly
Billed on time worked, at the rate agreed with you before the work starts.
Price on application · plus GST
Monthly retainer
An agreed scope for an agreed monthly fee, so regular work keeps moving without a new quote each time.
Price on application · plus GST
kirstenwinter.com is our coaching and education hub, and it links to everything we offer there. That includes one-to-one coaching, cohorts, workshops, subscriptions, memberships, digital downloads and business strategy resources, and we add new offers over time. These are not hourly or retainer services.
Each offer has its own page or checkout showing what is included, the price, how long access lasts, and whether it renews. Those details form part of your purchase. If they differ from these terms, they apply to that offer, and everything else in these terms still applies.
One-to-one coaching
Sessions and coaching packages, paid for when you book.
Cohorts and workshops
Fixed start dates and schedules, paid for to secure your place.
Subscriptions and memberships
Billed on the schedule shown when you join.
Digital products and new offers
Downloads, templates, courses and anything we add later.
Specific terms may apply to individual products or services. We will state them at the point of sale or in your proposal or agreement.
05Agreements for retainers and coaching
These terms apply to everything we do. For some work we also use a separate written agreement, so the details are clear for both of us.
The agreement sits on top of these terms. Anything it does not cover is covered here. If the agreement and these terms conflict, the agreement applies to that work.
The annual price review in section 09 applies to agreements too, unless the agreement says in writing that a price is fixed for a set period.
06Who does the work
Our services are delivered by Kirsten Winter personally. Nothing is farmed out to a stranger, and nothing is left half-done. You deal with Kirsten directly, every time.
We use software and service providers to run the business and deliver your work, such as accounting, payroll, document, meeting and payment tools. They are listed in our Privacy Policy. We do not hand your work to another person or business to carry out.
Compleation Limited is responsible for your overall experience with us.
07Working together
If information or decisions arrive late, agreed dates may move.
Our services are governance, compliance and administration support. They are not legal advice, formal tax advice, a financial audit or investment advice. We work alongside your accountant, lawyer and other advisers, and you should take advice from a qualified professional where you need it.
We keep client information confidential and use it only to deliver the agreed services. Your records stay yours at all times, and wherever possible we work inside your own systems.
Our office hours are Monday to Friday, 8.30am to 5.30pm. We are closed on New Zealand public holidays and Auckland Anniversary.
08Pricing and payment
All amounts are in New Zealand dollars and are plus GST unless the price shown at the point of sale or in your proposal says otherwise. For governance, compliance and admin services, we agree pricing with you in writing before work starts. For coaching, workshops, memberships and digital products, the price is shown at the point of sale.
We accept payment through Stripe, PayPal, GoCardless and direct credit to our New Zealand business account. Payment for digital products, coaching and workshops is due in full in advance unless a retainer, payment plan or subscription has been agreed. For invoiced work, payment is due by the date shown on the invoice or agreed in writing.
We may use a third-party provider to process recurring payments or direct debits for us. We will tell you at the point of purchase if this applies. By going ahead with payment, you authorise that provider to debit your nominated account or card on the terms shown at checkout.
We only use reputable providers that meet relevant data protection and security standards. We do not store your full card or banking details on our own systems.
09Annual price reviews
We review our prices once a year. Prices for our services, coaching, programs, subscriptions, memberships and retainers, and our hourly rates, may increase. This applies to everyone, including people who are part-way through a coaching program, a program or a retainer.
Cancelling does not entitle you to a refund of amounts already paid, apart from your rights in section 11 and under consumer law.
10Overdue or failed payments
If a payment fails or stays outstanding for more than seven days, we may pause access to services, stop work without delivering it, or cancel upcoming sessions until it is paid. We will tell you before we do.
If we have to take steps to recover an unpaid amount, the reasonable costs of doing so may be passed on to you.
11Refunds and cancellations
What is and is not refundable, in plain terms.
Not available
A coaching session that has already taken place.
Not available
A coaching session where the client did not attend.
Not available
Downloads, templates and course material once accessed.
Not available
Custom services where work has already started.
14-day refund window. We offer a 14-day refund window on eligible digital products and services. To ask for a refund, use our contact form within 14 days of purchase and start your message with “Refund request”.
We do not refund for change of mind or unmet expectations, because results depend on implementation and engagement.
Your consumer rights. Nothing in this section limits your rights under the Consumer Guarantees Act 1993. If a product or service fails to meet a consumer guarantee, for example it is not fit for purpose or not of acceptable quality, you are entitled to a remedy whatever this section says.
12Subscriptions and retainers
If you join a subscription, membership or retainer, payments are charged automatically as set out when you buy. You can cancel future payments at any time before your next billing date. We do not refund partial periods or unused access.
Price changes to subscriptions, memberships and retainers follow the annual price review rules in section 09.
Either of us may end an ongoing engagement by telling the other in writing. We will finish the work already paid for or under way, and you pay for work done up to the end date. Any notice period set out in your proposal or agreement applies.
13Coaching and no-shows
Coaching supports your clarity, mindset and strategy. It is not therapy, counselling, or legal or financial advice. Your results depend on your own effort, decisions and follow-through.
We need 24 hours’ notice to reschedule a coaching session. A session missed without notice may be forfeited. Repeated cancellations or no-shows may mean we stop the service, without refund.
Coaching prices are reviewed each year and may increase, including part-way through a coaching program, as set out in section 09.
14Cohorts and workshops
A cohort or workshop is a program with set start dates and a set schedule. Your place is confirmed once payment is received, and the dates, format and what is included are shown on the program’s page.
Live sessions run at the times shown. If you cannot attend one, we do not refund or reschedule it. Recordings are provided only where the program page says so. If we need to change a session time, we will give you as much notice as we can.
If we cancel a cohort or workshop before it starts, we will offer you a refund of what you paid or a place in a later one. Program members are expected to follow the conduct standards in section 16.
Nothing in these terms takes away your rights under New Zealand consumer law.
Compleation Limited · Since 200815Digital products
All of our products are digital. Some have their own website and domain name. These terms apply to every one of them, and each product website links back to this page.
Digital products are delivered electronically, by download, email or a login to a members’ area, as set out at the point of sale. Access normally starts once your payment is confirmed. If you do not receive your product, tell us through the contact form and we will sort it out.
When you buy a digital product, we give you a non-transferable, non-exclusive licence to use it for yourself or your own organisation. You may not share your login, or share, resell, edit or repackage any of it, without our permission.
Where a product has an access period, it is stated at the point of sale. We may update, improve or replace a product, and we may withdraw a product we no longer offer. If we withdraw something you have paid for and still have access to, we will tell you and put it right.
If the terms shown for a particular product are different from these terms, the product terms apply to that product. Refunds for digital products are covered in section 11, and your consumer rights apply whatever those terms say.
We are not responsible for compatibility with your devices, software or browsers. Results from any product depend on how you use it, as set out in section 19.
16Conduct and community
We expect everyone to be respectful in group sessions and community spaces. Harassment, spam, inappropriate content or repeated breaches of boundaries may mean we remove you from the service, without refund.
17Privacy and AI tools
We use cookies and similar tools to make our websites work and to understand how they are used. How we collect, use, store and protect personal information is set out in our Privacy Policy. How we use AI tools, and how we protect personal and client information when we do, is set out in our AI Use Policy.
Please read both alongside these terms.
We send marketing emails only to people who have asked for them or otherwise agreed, in line with the Unsolicited Electronic Messages Act 2007. Every marketing message has an unsubscribe link.
18Affiliate and third-party links
We sometimes recommend products or services through affiliate links. If you buy through one, we may earn a small commission at no extra cost to you. We only recommend tools we use or trust.
We may also link to other websites and resources for convenience. We do not control or endorse them and are not responsible for their accuracy, availability or content. Using third-party tools is your choice.
19Disclaimers and liability
Our content and services are provided for general information, education and support. We make no guarantees about income, results or outcomes. Your success depends on your own implementation and decisions, and we are not liable for outcomes of decisions you make using our materials or sessions.
To the fullest extent New Zealand law allows, our total liability to you is limited to the amount you paid for the relevant product or service. We are not liable for indirect, consequential or incidental loss, including business interruption or loss of profit.
If you buy our services for the purposes of a business, you and we agree that the Consumer Guarantees Act 1993 does not apply, and that it is fair and reasonable for the parties to be bound by this agreement. Part 1 of the Fair Trading Act 1986 applies to the extent the law does not allow it to be excluded.
If you are a consumer. These limits do not apply where the law does not allow them, including under the Consumer Guarantees Act 1993.
20Events beyond our control
We are not responsible for a delay or failure caused by something outside our reasonable control, such as illness, natural disaster, power or internet outages, or a failure of a third-party platform. We will tell you as soon as we reasonably can and work out a sensible way forward with you.
21Disputes and governing law
If something goes wrong, tell us first through the contact form so we can put it right. Most issues are quickly sorted with a conversation.
These terms are governed by New Zealand law, including the Contract and Commercial Law Act 2017, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986. You and we submit to the non-exclusive jurisdiction of the New Zealand courts.

Changes do not affect a purchase you have already made, unless the law requires it. By continuing to use our websites or services after a change, you accept the updated terms.
