Service 03 · Compliance & governance

Your obligations, kept current.

Minutes, annual returns, registers, constitutions, licensing and review evidence - the obligations that come with running a business, committee, trust, society or board. I keep them in order all year, so you're never assembling proof the week before someone asks for it.

I attend your meetings and write the minutes myself, lodge the filings on time and keep every record current - done properly, and without you needing to chase.

Consider it done

01What this covers

Every obligation, accounted for.

Six areas of compliance and governance work, all done by me. Tell me what kind of organisation you are, and I’ll show you what usually applies.

What kind of organisation are you?Pick one and the list below narrows to just the work that usually applies to you.

Meetings & minutes

Minutes you can stand behind.

  • Agendas & papersPrepared and circulated ahead of time.
  • Minutes, taken in the roomI attend, take my own notes and write them up.
  • Action registerOwners, dates and follow-up before the next meeting.
  • AGMs & special meetingsNotice, agenda, papers, minutes and resolutions.
  • Staff hui & whānau huiDecisions and actions captured with a clear trail.
  • Resolutions filedRecorded properly and easy to find later.

Every decision recorded, and every action followed through.

Annual returns & filings

Lodged on time, every year, without chasing.

  • Companies Office returnsAnnual returns filed before they're due.
  • Charities ServicesAnnual returns and reporting for registered charities.
  • Incorporated Societies Act 2022Ongoing annual returns and financial statements.
  • Local authority reportingWhat your governing body expects, on schedule.
  • Audited accounts to MoEAccountant and auditor liaison, in by 30 June.
  • Statistics NZ surveysAnnual Business and Enterprise Surveys completed.

No late notices, and no filing left to the last minute.

Registers & records

Who's who, and who declared what.

  • Officer registerAppointments and resignations kept current.
  • Officer & director changesNotified to the Companies Office promptly.
  • Conflict of interest registerMaintained and ready for any review.
  • Membership registerMembers recorded as your rules require.
  • Company recordsDirector and shareholder details kept up to date.

Registers that match reality, not last year's committee.

Constitution, rules & policy

Run by your own rules - and the law's.

  • Constitution reviewChecked against current legislation.
  • AmendmentsDrafted and adopted through the correct process.
  • Meetings by the rulesNotice periods, quorum and voting done properly.
  • Policy scheduleEvery policy's review date tracked.
  • Policy & procedure reviewsLed with your team, so they reflect how you work.
  • Changes flagged earlyWhen the rules shift, you hear about it first.

Governing documents that are current, followed and easy to find.

ECE licensing & ERO

Know your compliance. Prove it.

  • MoE licensing criteriaCompliance, attestation support and record-keeping.
  • ERO Management AssuranceEvidence documented, current and held properly.
  • Frequent absencesTracked, analysed and actioned every month.
  • Monthly centre auditSystems, processes and documents checked.
  • Parent committee governanceAgendas, minutes, returns and officer records.
  • Kaiako accountabilityPractical systems for MoE and ERO obligations.

Audit-ready all year, not the week before a visit.

Calendar & continuity

Nothing depends on one person's memory.

  • Governance calendarEvery deadline and meeting date in one place.
  • Early remindersAnything needing your sign-off flagged well ahead.
  • Handover packsSo continuity survives a resignation.
  • New officer supportNew committee members up to speed quickly.
  • Evidence trailRecords that stand up to funder or audit scrutiny.
  • Annual resetThe calendar rolled forward after each AGM.

The year runs to plan, whoever is on the committee.

Start with one area, or hand over all six. Nothing is farmed out to a stranger, and nothing is left half-done.

02What it looks like in your organisation

Nobody notices, until someone asks.

Compliance rarely fails loudly. It slips. A return filed late, minutes that never quite got written up, a register that stopped being updated when the last secretary moved on. Each one is small - until an auditor, a funder, ERO or a member asks to see it.

And it always lands on the busiest person in the room. A reminder arrives mid-morning, and the rest of the day goes on hunting for a document, chasing a signature or rebuilding a record from memory.

Where are the minutes from the last meeting - and were they confirmed?

Once it's handed off

Written up from my own notes, circulated, confirmed at the next meeting and filed.

Has this year's annual return actually gone in?

Once it's handed off

Lodged on time, every year - the reminder comes to me, not you.

Who is on the officer register right now?

Once it's handed off

Current and accurate, and updated the moment anyone joins or steps down.

If an auditor or ERO asked tomorrow, could you show them?

Once it's handed off

The evidence is already there - kept current all year, not assembled the week before.

03The compliance year

Not a once-a-year panic.
A rhythm.

Governance runs on a cycle - every meeting, every month, every term and every year. I keep the whole cycle turning, so nothing is left to the last minute.

Every meeting

Before, during and after - I'm in the room, so the record is right.

Before · at · after

  • Agenda prepared and papers circulated on time
  • I attend and take my own notes - never someone else's
  • Decisions, resolutions and conflicts recorded accurately
  • Actions tracked and followed up before the next meeting
  • Minutes drafted, circulated and confirmed
  • Everything filed where the next person can find it

Monthly

The regular checks that stop small gaps becoming big ones.

  • Compliance records reviewed and updated
  • Registers updated as changes happen
  • Governance calendar checked for what's coming up

07Common questions

Compliance & governance, answered.

Straight answers to what most people want to know before we talk.

Do you actually attend our meetings and take the minutes?

Yes. I attend the meeting - in person around the Bay of Plenty, or online anywhere in New Zealand - take my own notes and write the minutes myself. I don't write minutes from someone else's notes. They're circulated promptly and ready to confirm at your next meeting.

Can you help our society meet its Incorporated Societies Act 2022 obligations?

Yes. For registered societies I look after the ongoing obligations - annual returns, financial statements, officer records, the membership register and running meetings in line with your constitution - so your society stays in good standing year after year.

We run an early learning centre. Can you help with MoE licensing and ERO?

Yes - I've been doing this work in early learning since 2008. I keep licensing records current, work through ERO's Management Assurance on Legal Requirements with you, track frequent absences, keep staff compliance records up to date and run a monthly centre audit, so the evidence is there all year.

Are you a lawyer? Can you give us legal advice?

No, I'm not a lawyer and I don't give legal advice. I keep your records, filings, meetings and processes in order. If something needs a legal or specialist opinion - a contentious constitution change, for example - I'll flag it early so you can get the right advice before it becomes a problem.

Will you work alongside our chair, treasurer or accountant?

Absolutely. I work alongside the people and advisers you already have, taking the compliance and governance load off them so their time goes where it's needed. Everything stays in your own systems, so hand-offs are simple.
